SB44-AA8,1,11 At the locations indicated, amend the bill as follows:
SB44-AA8,1,3 21. Page 1, line 5: after "to a labor organization" insert ", shareholder approval
3of corporate political contributions,".
SB44-AA8,1,4 42. Page 5, line 5: after that line insert:
SB44-AA8,1,5 5" Section 11g. 180.0750 of the statutes is created to read:
SB44-AA8,1,7 6180.0750 Shareholder approval of political contributions. (1) In this
7section:
SB44-AA8,1,88 (a) "Political committee" has the meaning given in s. 11.01 (4).
SB44-AA8,1,99 (b) "Political group" has the meaning given in s. 11.01 (10).
SB44-AA8,2,2 10(2) Notwithstanding any other provision of this chapter, a corporation may not
11make a contribution to a political committee or political group unless the
12contribution is first approved by the shareholders by a majority vote of all of the
13corporation's voting shares then issued and outstanding. A corporation may

1establish a record date for determining the shareholders entitled to vote under this
2subsection.
SB44-AA8,11r 3Section 11r. 180.1540 of the statutes is created to read:
SB44-AA8,2,5 4180.1540 Shareholder approval of political contributions. (1) In this
5section:
SB44-AA8,2,76 (a) "Foreign corporation" means a foreign corporation authorized to transact
7business in this state.
SB44-AA8,2,98 (b) "Political committee" has the meaning given in s. 11.01 (4) but is limited to
9a committee that is located in this state or engages in political activity in this state.
SB44-AA8,2,1110 (c) "Political group" has the meaning given in s. 11.01 (10) but is limited to a
11group that is located in this state or engages in political activity in this state.
SB44-AA8,2,16 12(2) Notwithstanding any other provision of this chapter, a foreign corporation
13may not make a contribution to a political committee or political group unless the
14contribution is first approved by a majority of the shareholders who are residents of
15this state. A foreign corporation may establish a record date for determining the
16shareholders entitled to vote under this subsection.".
