20subsection, the document is effective at the time and date specified. If a delayed

8withdrawn, it must state that the record is withdrawn in accordance with the
9agreement of all the persons that signed the record.
AB854,376,11 10(3) On filing by the department of a statement of withdrawal, the action or
11transaction evidenced by the original record does not take effect.
AB854,376,14 12183.0209 Correcting filed record. (1) A person on whose behalf a filed
13record was delivered to the department for filing may correct the record if any of the
14following applies:
AB854,376,1515 (a) The record at the time of filing was inaccurate.
AB854,376,1616 (b) The record was defectively signed.
AB854,376,1717 (c) The electronic transmission of the record to the department was defective.
AB854,376,19 18(2) To correct a filed record, a person on whose behalf the record was delivered
19to the department must deliver to the department for filing a statement of correction.
AB854,376,20 20(3) (a) A statement of correction may not state a delayed effective date.
AB854,376,2121 (b) A statement of correction must satisfy all of the following:
AB854,376,2222 1. It must be signed by the person correcting the filed record.
AB854,376,2323 2. It must identify the filed record to be corrected.
AB854,376,2424 3. It must specify the inaccuracy or defect to be corrected.

1(4) A statement of correction is effective as of the effective date of the filed
2record that it corrects except for purposes of s. 183.0103 (4) and as to persons relying
3on the uncorrected filed record and adversely affected by the correction. For those
4purposes and as to those persons, the statement of correction is effective when filed.
AB854,377,8 5183.0210 Duty of department to file; review of refusal to file; delivery
6of record by department. (1)
The department shall file a record delivered to the
7department for filing which satisfies this chapter. The duty of the department under
8this section is ministerial.
AB854,377,13 9(2) When the department files a record, the department shall record it as filed
10on the date of its delivery. After filing a record, the department shall deliver to the
11person that submitted the record a copy of the record with an acknowledgment of the
12date of filing and, in the case of a statement of denial, also to the limited liability
13company to which the statement pertains.
AB854,377,15 14(3) If the department refuses to file a record, the department shall, not later
15than 5 business days after the record is delivered, do all of the following:
AB854,377,1716 (a) Return the record or notify the person that submitted the record of the
17refusal.
AB854,377,1818 (b) Provide a brief explanation in a record of the reason for the refusal.
AB854,377,22 19(4) If the department refuses to file a record, the person that submitted the
20record may petition the circuit court to compel filing of the record. The record and
21the explanation of the department of the refusal to file must be attached to the
22petition. The court may decide the matter in a summary proceeding.
AB854,377,24 23(5) The filing of or refusal to file a record does not create a presumption of any
24of the following:
AB854,377,2525 (a) That the record does or does not conform to the requirements of this chapter.

1(b) That the information contained in the record is correct or incorrect.
AB854,378,4 2(6) Except as otherwise provided by s. 183.0119 or by law other than this
3chapter, the department may deliver any record to a person by delivering it in any
4of the following ways:

AB854,378,66 (b) To the address of the person's registered agent.
AB854,378,77 (c) To the principal office of the person.
AB854,378,88 (d) To another address the person provides to the department for delivery.
AB854,378,11 9183.0211 Certificate of status. (1) Any person may obtain from the
10department, upon request, a certificate of status for a limited liability company or
11registered foreign limited liability company.
AB854,378,12 12(2) A certificate of status shall include all of the following information:
AB854,378,1413 (a) The domestic company's company name or the foreign company's company
14name and fictitious name, if any, used in this state.
AB854,378,1515 (b) Whether each of the following is true:
AB854,378,1816 1. The domestic company is a limited liability company whose governing law
17is the law of this state, or the foreign company is authorized to transact business in
18this state.
AB854,378,2119 2. The domestic company or the foreign company has, during its most recently
20completed report year, filed with the department an annual report required by s.
21183.0212.
AB854,378,2322 3. The domestic company has not filed a statement of dissolution or statement
23of termination.

14. The foreign company has not filed a statement of withdrawal of its foreign
2registration under s. 183.0911 and, if not, the effective date of its registration
3statement.
AB854,379,54 (c) The domestic company's effective date of its articles of organization and the
5period of its duration if less than perpetual.
AB854,379,7 6(3) The certificate of status may include other facts of record in the department
7that are requested.
AB854,379,11 8(4) Subject to any qualification stated in a certificate of status issued by the
9department, the certificate is conclusive evidence that the limited liability company
10or the foreign limited liability company is in existence or is authorized to transact
11business in this state.
AB854,379,14 12(5) Upon request, by telephone or otherwise, the department shall confirm by
13telephone any of the information required in a certificate of status under sub. (2) and
14may confirm any other information permitted under sub. (3).
AB854,379,17 15183.0212 Annual report for department. (1) A limited liability company
16or registered foreign limited liability company shall deliver to the department for
17filing an annual report that states all of the following:
AB854,379,1818 (a) The name of the company or foreign company.
AB854,379,2019 (b) The street address of its registered agent in this state and the name and
20e-mail address of its registered agent at that office.
AB854,379,2121 (c) The street address of its principal office.
AB854,379,2222 (d) If the company is member managed, the name of at least one member.
AB854,379,2323 (e) If the company is manager managed, the name of at least one manager.
AB854,379,2524 (f) In the case of a foreign company, the jurisdiction of its governing law and any
25fictitious name adopted under s. 183.0906 (1).

1(2) Information in the annual report must be current as of the date the report
2is signed by the limited liability company or registered foreign limited liability
3company.
AB854,380,8 4(3) (a) A domestic limited liability company shall deliver its annual report to
5the department in each year following the calendar year in which the domestic
6limited liability company's articles of organization became effective, during the
7calendar year quarter in which the anniversary date of the articles' effective date
8occurs.
AB854,380,129 (b) A registered foreign limited liability company shall deliver its annual report
10to the department during the first calendar quarter of each year following the
11calendar year in which the foreign limited liability company registered to do business
12in this state.
AB854,380,18 13(4) If an annual report does not contain the information required by this
14section, the department promptly shall notify the reporting limited liability company
15or registered foreign limited liability company in a record and return the report to
16it for correction. If the annual report is corrected to contain the information required
17by this section and delivered to the department within 30 days after the effective date
18of the notice under s. 183.0103 (5), the annual report is timely filed.

20differs from the information shown in the records of the department immediately
21before the report becomes effective, the differing information is considered a

7this chapter from imposing liability on a limited liability company because of the

AB854,381,10 9183.0302 Statement of authority. (1) (a) A limited liability company may
10deliver to the department for filing a statement of authority.
AB854,381,1311 (b) The statement of authority must include the name of the company, the street
12address of the company's registered office in this state, and the name and e-mail
13address of its registered agent at that office.
AB854,381,1414 (c) The statement of authority may state any of the following:

16the authority, or limitations on the authority, of all persons holding the position to

AB854,382,16 12(2m) (a) A statement of authority is renewable for successive 5-year periods.
13To renew a statement of authority filed by the department, a limited liability
14company must deliver to the department for filing, during the 3 months before the
15cancellation would occur under sub. (10), a statement of renewal that includes all of
16the following:

1(3) A statement of authority affects only the power of a person to bind a limited
2liability company to persons that are not members.
AB854,383,6 3(4) Subject to sub. (3) and s. 183.0103 (4), and except as otherwise provided in
4subs. (6) to (8), a limitation on the authority of a person or a position contained in an
5effective statement of authority is not by itself evidence of any person's knowledge
6or notice of the limitation.
AB854,383,10 7(5) Subject to sub. (3), a grant of authority not pertaining to transfers of real
8property and contained in an effective statement of authority is conclusive in favor
9of a person that gives value in reliance on the grant, except to the extent that when
10the person gives value any of the following applies:
AB854,383,1111 (a) The person has knowledge to the contrary.
AB854,383,1212 (b) The statement has been canceled or restrictively amended under sub. (2).
AB854,383,1413 (c) A limitation on the grant is contained in another statement of authority that
14became effective after the statement containing the grant became effective.
AB854,383,20 15(6) Subject to sub. (3), an effective statement of authority that grants authority
16to transfer real property held in the name of the limited liability company, a certified
17copy of which statement is recorded in the office of the register of deeds for the county
18in which the property is located, is conclusive in favor of a person that gives value
19in reliance on the grant without knowledge to the contrary, except to the extent that
20when the person gives value any of the following applies:
