25of the authority, acting jointly, shall identify all rules promulgated by the board of

1regents that are in effect on June 29, 1996, and which relate to the University of
2Wisconsin Hospitals and Clinics and related services. Except as provided in
3subdivision 2., all such rules shall become bylaws or policies and procedures of the
4authority on June 29, 1996, and shall remain in effect until their specified expiration
5date or until amended or repealed by the authority.
AB150-ASA,2435,10 62. All rules identified under subdivision 1. that primarily relate to employes
7identified under subsection (4) (c) shall become rules of the University of Wisconsin
8Hospitals and Clinics Board on June 29, 1996, and shall remain in effect until their
9specified expiration dates or until amended or repealed by the University of
10Wisconsin Hospitals and Clinics Board.
AB150-ASA,2435,11 11(f)  Policies and procedures.
AB150-ASA,2435,18 121. The chancellor of the University of Wisconsin-Madison and the chairperson
13of the authority, acting jointly, shall identify all policies and procedures of the
14University of Wisconsin-Madison that are in effect on June 29, 1996, and which
15relate to the University of Wisconsin Hospitals and Clinics and related services.
16Except as provided in subdivision 2., all such policies and procedures shall become
17policies and procedures of the authority on June 29, 1996, and shall remain in effect
18until their specified expiration date or until modified or rescinded by the authority.
AB150-ASA,2435,23 192. All policies and procedures under subdivision 1. that primarily relate to
20employes identified under subsection (4) (c) shall become policies and procedures of
21the University of Wisconsin Hospitals and Clinics Board on June 29, 1996, and shall
22remain in effect until their specified expiration date or until modified or rescinded
23by the University of Wisconsin Hospitals and Clinics Board.

11. The chancellor of the University of Wisconsin-Madison and the chairperson
2of the authority, acting jointly, shall identify those matters pending with the board
3of regents on June 29, 1996, that primarily relate to the University of Wisconsin
4Hospitals and Clinics and related services. Except as provided in subdivision 2., on
5June 29, 1996, any matter so identified shall become a pending matter of the
6authority and all materials submitted to or actions taken by the board of regents with
7respect to the pending matter are considered as having been submitted to or taken
8by the authority.
AB150-ASA,2436,14 92. On June 29, 1996, any matter identified under subdivision 1. that primarily
10relates to employes identified under subsection (4) (c) shall become a pending matter
11of the University of Wisconsin Hospitals and Clinics Board and all materials
12submitted to or actions taken by the board of regents with respect to the pending
13matter are considered as having been submitted to or taken by the University of
14Wisconsin Hospitals and Clinics Board.
AB150-ASA,2436,18 15(h)  Secretary of administration to arbitrate disputes. In the case of
16disagreement with respect to any matter specified in this subsection, the secretary
17of administration shall determine the matter and shall develop a plan for an orderly
18transfer.
AB150-ASA,2436,22 19(i)Applicability of lease and affiliation agreements. Paragraphs (b) to (h) do
20not apply to any matter specified in the lease agreement under section 233.04 (7) of
21the statutes, as created by this act, or the affiliation agreement under section 233.04
22(7m) of the statutes, as created by this act.
AB150-ASA,2436,25 23(j)Applicability of paragraphs (b) to (h). Paragraphs (b) to (h) do not apply
24after June 1, 1996, unless the joint committee on finance approves the proposed
25agreements under paragraph (k) 5.

1(k) Lease, affiliation and contractual services agreements; governor and joint
2committee on finance review.
AB150-ASA,2437,8 31. The authority and the board of regents shall negotiate and enter into the
4lease agreement specified in sections 36.11 (28) and 233.04 (7) of the statutes, as
5created by this act, to lease the on-campus facilities, as defined in section 233.01 (7)
6of the statutes, as created by this act, beginning on June 29, 1996. The authority and
7the board of regents shall submit the proposed lease agreement to the governor and
8to the joint committee on finance by January 15, 1996.
AB150-ASA,2437,13 92. The authority and the board of regents shall negotiate and enter into the
10affiliation agreement specified in sections 36.11 (28m) and 233.04 (7m) of the
11statutes, as created by this act, to take effect on June 29, 1996. The authority and
12the board of regents shall submit the proposed affiliation agreement to the governor
13and to the joint committee on finance by January 15, 1996.
AB150-ASA,2437,19 143. The authority and the University of Wisconsin Hospitals and Clinics Board
15shall negotiate and enter into the contractual services agreement specified in
16sections 146.59 and 233.04 (4) of the statutes, as created by this act, to take effect on
17June 29, 1996. The authority and the University of Wisconsin Hospitals and Clinics
18Board shall submit the proposed contractual services agreement to the governor and
19to the joint committee on finance by January 15, 1996.
AB150-ASA,2437,23 204. No later than March 1, 1996, the governor shall approve or disapprove each
21of the proposed agreements specified under subdivisions 1. to 3. If, by March 1, 1996,
22the governor disapproves any of the proposed agreements, or does not approve or
23disapprove each of the proposed agreements, the agreements shall not take effect.
AB150-ASA,2438,7 245. If the governor approves all of the proposed agreements under subdivision
254., the joint committee on finance shall, no later than June 1, 1996, approve or

1disapprove each of the proposed agreements. If the committee approves all of the
2proposed agreements, the agreements shall take effect on June 29, 1996. If, by June
31, 1996, the joint committee on finance disapproves any of the proposed agreements,
4or does not approve or disapprove each of the proposed agreements, the agreements
5shall not take effect. Notwithstanding section 13.10 (4) of the statutes, the governor
6does not have the authority to approve or object to any committee action under this
7subdivision.
AB150-ASA,2438,12 8(L)Report. At the time of submission of the proposed agreement under
9paragraph (k) 1. or 2., whichever is later, the board of regents shall submit to the
10governor and to the joint committee on finance a report on any savings likely to
11accrue to the state as a result of the transfer of the operation of the University of
12Wisconsin Hospitals and Clinics to the authority.
AB150-ASA,2438,18 13(3)  Initial terms of appointed members of board of directors of the
14University of Wisconsin Hospitals and Clinics Authority
. Notwithstanding the
15length of terms of members of the board of directors of the University of Wisconsin
16Hospitals and Clinics Authority specified under section 233.02 (1) (a) of the statutes,
17as created by this act, the members initially appointed under that paragraph shall
18be appointed for the following terms:

. Notwithstanding the length of terms of members of
24the University of Wisconsin Hospitals and Clinics Board specified under section

115.96 (1) of the statutes, as created by this act, the members initially appointed under
2that subsection shall be appointed for the following terms:

AB150-ASA,2439,4 4(b) One member for a term that expires on July 1, 1998.
AB150-ASA,2439,5 5(c) One member for a term that expires on July 1, 1999.
AB150-ASA,2439,6 6(4)  Status of employes at University of Wisconsin Hospitals and Clinics.
AB150-ASA,2439,11 7(a) No later than June 29, 1996, the University of Wisconsin Hospitals and
8Clinics Authority shall, if the joint committee on finance approves the agreements
9under subsection (2) (k) 5., offer employment to each person who is an employe at the
10University of Wisconsin Hospitals and Clinics on June 28, 1996, and who is any of
11the following, as determined by the employment relations commission:
AB150-ASA,2439,12 121. A professional employe.
AB150-ASA,2439,13 132. A nonprofessional employe who is a supervisor.
AB150-ASA,2439,14 143. A management employe.
AB150-ASA,2439,16 154. An employe who is privy to confidential matters affecting the
16employe-employer relationship.
AB150-ASA,2439,19 17(b)  A person who is offered employment under paragraph (a) is deemed to have
18accepted such employment, unless he or she refuses the offer of employment within
1910 days of such offer.
AB150-ASA,2440,4 20(c) Subject to joint committee on finance approval of the agreements under
21subsection (2) (k) 5., on June 29, 1996, all positions at the University of Wisconsin
22Hospitals and Clinics, other than positions occupied by employes described under
23paragraph (a), and all incumbent employes in those positions are transferred to the
24University of Wisconsin Hospitals and Clinics Board. Employes transferred under
25this paragraph have all rights and the same status under subchapter V of chapter

1111 and chapter 230 of the statutes that they enjoyed at the University of Wisconsin
2Hospitals and Clinics. Notwithstanding section 230.28 (4) of the statutes, no
3employe so transferred who has attained permanent status in class may be required
4to serve a probationary period.
AB150-ASA,2440,12 5(5)  Adjudication of claims arising before termination of coverage. Any
6employe of the University of Wisconsin Hospitals and Clinics Authority who held a
7position with the authority during the period beginning on the effective date of this
8subsection and ending on June 30, 1997, may commence or continue to pursue under
9section 233.10 (3r) (b) 1. of the statutes, as created by this act, any procedural
10guarantee arising from a personnel decision made prior to July 1, 1997, until the
11procedural guarantee is appropriately adjudicated and any appropriate relief is
12granted.
