AB124,3,14 1325.184 Prohibited investments relating to Sudan. (1) Definitions. In
14this section:
AB124,3,1615 (a) "Active business operations" means all business operations that are not
16inactive business operations.

1(b) "Business operations" means engaging in commerce in any form in Sudan,
2including doing any of the following:
AB124,4,43 1. Acquiring, developing, maintaining, owning, selling, possessing, leasing, or
4operating equipment, facilities, products, or services, or real or personal property.
AB124,4,55 2. Maintaining personnel.
AB124,4,76 3. Acquiring, developing, maintaining, owning, selling, possessing, leasing, or
7operating any other apparatus of business or commerce.
AB124,4,98 (c) "Company" means any of the following if it exists for profit-making
9purposes:
AB124,4,1210 1. Any sole proprietorship, organization, association, corporation, partnership,
11joint venture, limited partnership, limited liability partnership, limited liability
12company, or other entity or business association.
AB124,4,1413 2. Any wholly-owned subsidiary, majority-owned subsidiary, parent company,
14or affiliate of a company described in subd. 1.
AB124,4,2015 (d) "Complicit in the Darfur genocide" means having taken any action during
16a preceding 20 month period that has directly supported or promoted the genocidal
17campaign in Darfur, including any action to prevent Darfur's victimized population
18from communicating with each other or to encourage Sudanese citizens to speak out
19against an internationally approved security force for Darfur, and including actively
20working to deny, cover up, or alter the record on human rights abuses in Darfur.
AB124,4,2421 (e) "Direct holdings" by the board in a company means all securities of that
22company held directly by the board in the board's name or as nominee where the
23board is the beneficial owner or held in an account or fund in which the board owns
24all shares or interests.

1(f) "Government of Sudan" means the government in Khartoum, Sudan, which
2is led by the National Congress Party, formerly known as the National Islamic Front,
3or any successor government formed on or after the effective date of this paragraph
4.... [revisor inserts date], including the coalition National Unity Government agreed
5upon in the Comprehensive Peace Agreement for Sudan but not including the
6regional government of southern Sudan.
AB124,5,97 (g) "Inactive business operations" means the mere continued holding or
8renewal of rights to property previously operated or used for the purpose of
9generating revenues but not presently deployed for such purpose.
AB124,5,1210 (h) "Indirect holdings" in a company means all securities of that company held
11in an account or fund, such as a mutual fund, managed by external managers in
12which the board owns shares or interests together with other investors.
AB124,5,1313 (i) "Marginalized populations of Sudan" include any of the following:
AB124,5,1514 1. The portion of the population in the Darfur region that has been genocidally
15victimized.
AB124,5,1716 2. The portion of the population of southern Sudan victimized by Sudan's
17North-South civil war.
AB124,5,1918 3. The Beja, Rashidiya, and other similarly underserved groups of eastern
19Sudan.
AB124,5,2120 4. The Nubian and other similarly underserved groups in Sudan's Abyei,
21Southern Blue Nile, and Nuba Mountain regions.
AB124,5,2322 5. The Amri, Hamadab, Manasir, and other similarly underserved groups of
23northern Sudan.
AB124,5,2424 (j) "Military equipment" means any of the following:

11. Weapons, arms, military supplies, and equipment that readily may be used
2for military purposes, including radar systems or military-grade transport vehicles.
AB124,6,43 2. Supplies or services sold or provided directly or indirectly to any force
4actively participating in armed conflict in Sudan.
AB124,6,55 (k) "Mineral extraction activities" include any of the following:
AB124,6,96 1. Exploring for, extracting, processing, transporting, or wholesale selling or
7trading of elemental minerals or associated metal alloys or oxides, such as ore,
8including gold, copper, chromium, chromite, diamonds, iron, iron ore, silver,
9tungsten, uranium, and zinc.
AB124,6,1110 2. Facilitating any activity described in subd. 1., including providing supplies
11or services in support of any such activity.
AB124,6,1212 (L) 1. "Oil-related activities" include any of the following:
AB124,6,1313 a. Owning rights to oil blocks.
AB124,6,1514 b. Exporting, extracting, producing, refining, processing, exploring for,
15transporting, selling, or trading of oil.
AB124,6,1716 c. Constructing, maintaining, or operating a pipeline, refinery, or other oil-field
17infrastructure.
AB124,6,1918 d. Facilitating any activity described in subd. 1. a. to c., including providing
19supplies or services in support of any such activity.
AB124,6,2120 2. "Oil-related activities" do not include the mere retail sale of gasoline and
21related consumer products.
AB124,6,2222 (m) "Power production activities" means any of the following:
AB124,7,223 1. Any business operation that involves a project commissioned by the National
24Electricity Corporation of Sudan or other similar government of Sudan entity the

1purpose of which is to facilitate power generation and delivery, including
2establishing power-generating plants or hydroelectric dams.
AB124,7,33 2. Selling or installing components for any project described in subd. 1.
AB124,7,54 3. Providing service contracts related to the installation or maintenance of any
5project described in subd. 1.
AB124,7,76 4. Facilitating any project or activity described in subd. 1. to 3., including
7providing supplies or services in support of any such project or activity.
AB124,7,98 (n) "Scrutinized active business operations" means those business operations
9that are both active business operations and scrutinized business operations.
AB124,7,1110 (o) "Scrutinized business operations" means those business operations of a
11company that cause the company to be a scrutinized company under this section.
AB124,7,1412 (p) "Scrutinized company" means any company, except a social development
13company that is not complicit in the Darfur genocide, to which any of the following
14applies:
AB124,7,2215 1. The company has business operations that involve any contract with, or the
16provision of any supplies or services to, the government of Sudan, to any company
17in which the government of Sudan has any direct or indirect equity share, to any
18government of Sudan-commissioned consortium or project, or to any company
19involved in any government of Sudan-commissioned consortium or project, the
20company has failed to take substantial action to cease scrutinized business
21operations, and more than 10 percent of the company's revenues or assets linked to
22Sudan involve any of the following:
AB124,8,223 a. Oil-related activities or mineral extraction activities if less than 75 percent
24of the company's revenues or assets linked to Sudan involve contracts with, or
25provision of oil-related or mineral extracting products or services to, the regional

1government of southern Sudan or a project or consortium created exclusively by that
2regional government.
AB124,8,53 b. Power production activities if less than 75 percent of the company's power
4production activities include projects intended to provide power or electricity to the
5marginalized populations of Sudan.
AB124,8,66 2. The company is complicit in the Darfur genocide.
AB124,8,157 3. The company supplies military equipment within Sudan, unless it clearly
8shows that the military equipment cannot be used to facilitate offensive military
9actions in Sudan or the company implements rigorous and verifiable safeguards to
10prevent use of that equipment by forces actively participating in armed conflict, such
11as through post-sale tracking of such equipment by the company, certification from
12a reputable and objective 3rd party that such equipment is not being used by a party
13participating in armed conflict in Sudan, or sale of such equipment solely to the
14regional government of southern Sudan or any internationally recognized
15peacekeeping force or humanitarian organization.
AB124,8,2216 (q) "Social development company" means a company whose primary purpose
17in Sudan is to provide humanitarian goods or services, including medicine or medical
18equipment, agricultural supplies or infrastructure, educational opportunities,
19journalism-related activities, information or information materials,
20spiritual-related activities, services of a purely clerical or reporting nature, or food,
21clothing, or general consumer goods that are unrelated to oil-related activities,
22mineral extraction activities, or power production activities.
AB124,8,2423 (r) "Substantial action to cease scrutinized business operations" means doing
24any of the following:
AB124,9,3
11. Adopting, publicizing, and implementing a formal plan to cease scrutinized
2business operations within one year and refraining from any new scrutinized
3business operations.
AB124,9,54 2. Undertaking significant humanitarian efforts on behalf of one or more
5marginalized populations of Sudan.
AB124,9,76 3. Materially improving conditions for the genocidally victimized population
7in Darfur, through engagement with the government of Sudan.
AB124,9,12 8(2) Identification of scrutinized companies. (a) Not later than 90 days after
9the effective date of this paragraph .... [revisor inserts date], the board shall make
10its best efforts to identify all scrutinized companies in which the board has direct or
11indirect holdings or may foreseeably have such holdings in the future. Best efforts
12include, as applicable, all of the following:
AB124,9,1613 1. Reviewing and relying, as appropriate in the board's judgment, on publicly
14available information regarding companies with business operations in Sudan,
15including information provided by non-profit organizations, research firms,
16international organizations, and government entities.
AB124,9,1817 2. Contacting asset managers contracted by the board that invest in companies
18with business operations in Sudan.
AB124,9,2019 3. Contacting other institutional investors that have divested from, or engaged
20with, companies that have business operations in Sudan.
AB124,9,2521 (b) Not later than the first regular meeting of the trustees of the board after the
22date specified in par. (a), the board shall assemble a list of all scrutinized companies
23identified under par. (a). The board shall update this list on a quarterly basis based
24on evolving information from, among other sources, those sources identified in par.
25(a).

1(3) Engagement. (a) With respect to the companies on the scrutinized
2companies list under sub. (2) (b) in which the board has direct or indirect holdings,
3immediately after the date specified in sub. (2) (a), the board shall do all of the
4following:
AB124,10,95 1. For each company on the list with only inactive business operations, the
6board shall send a written notice to inform the company of the provisions of this
7section and to encourage the company to continue to refrain from initiating active
8business operations in Sudan until it is able to avoid scrutinized business operations.
9The board shall continue such correspondence on a semiannual basis.
AB124,10,1810 2. For each company on the list with active business operations, the board shall
11send a written notice to inform the company of its scrutinized company status and
12to advise the company that it may become subject to divestment by the board. The
13notice shall advise the company that the company will be subject to divestment by
14the board unless, within 90 days after the notice, the company ceases its scrutinized
15business operations or converts its business operations to inactive business
16operations. The notice shall also advise the company that it may, within this 90 day
17period, attempt to clarify to the board the company's Sudan-related activities in an
18effort to avoid divestment.
AB124,10,2519 (b) If, within 90 days following the board's first engagement with a company
20under par. (a) 2., that company ceases scrutinized business operations, the board
21shall remove the company from the list under sub. (2) (b) and the provisions of this
22section shall cease to apply to it unless it resumes scrutinized business operations.
23If, within 90 days following the board's first engagement under par. (a) 2., the
24company converts its scrutinized active business operations to inactive business
25operations, the company shall remain subject to the provisions of this subsection.

1(4) Divestment. (a) Except as provided in subs. (6) to (8), if, after 90 days
2following the board's first engagement with a company as described in sub. (3) (a) 2.,
3the company continues to have scrutinized active business operations, the board
4shall sell, redeem, divest, or withdraw all publicly-traded securities of the company,
5according to the following schedule:
AB124,11,86 1. At least 50 percent of such assets shall be removed from the board's assets
7under management by 9 months after the company's first appearance on the list
8under sub. (2) (b).
AB124,11,119 2. One hundred percent of such assets shall be removed from the board's assets
10under management within 15 months after the company's first appearance on the
11list under sub. (2) (b).
AB124,11,1712 (b) If a company that ceased scrutinized active business operations resumes
13scrutinized active business operations, the company shall be immediately
14reintroduced onto the list under sub. (2) (b), and par. (a) shall apply except that all
15assets of the company shall be immediately removed from the board's assets under
16management. The board shall send written notice to the company of divestment
17under this paragraph.
AB124,11,21 18(5) Prohibition. Except as provided in subs. (6) to (8), after the effective date
19of this subsection .... [revisor inserts date], the board may not acquire securities of
20companies on the scrutinized companies list under sub. (2) (b) that have active
21business operations.
AB124,11,25 22(6) Exemptions. Subsections (4) and (5) do not apply to any company that the
23federal government has affirmatively declared, or at any time in the future
24affirmatively declares, to be excluded from any federal sanctions regime relating to
25Sudan.
AB124,12,10
1(7) Excluded securities. Subsections (4) and (5) do not apply to indirect
2holdings in actively managed investment funds. However, the board shall submit
3letters to the managers of such investment funds containing companies with
4scrutinized active business operations requesting that they consider removing such
5companies from the fund or create a similar actively managed fund with indirect
6holdings devoid of such companies. If the manager creates a similar fund, the board
7shall replace all applicable investments with investments in the similar fund in an
8expedited timeframe consistent with prudent investing standards. For the purposes
9of this subsection, private equity funds are considered to be actively managed
10investment funds.
AB124,12,17 11(8) Reinvestment in Certain Companies. (a) The board shall be permitted to
12cease divesting from certain scrutinized companies under sub. (4), or to reinvest in
13certain scrutinized companies from which it divested under sub. (4), or both, if clear
14and convincing evidence shows that the value for all assets under management by
15the board has decreased to 99.5 percent or less of the value of all assets under
16management by the board when calculated as if no divestment from any company
17had occurred under sub. (4).
AB124,12,2018 (b) The board may only cease divesting or reinvest under par. (a) to the extent
19necessary to avoid a decrease in the value of assets of the amount specified in par.
20(a).
AB124,12,2221 (c) This subsection does not apply to reinvestment in companies on the ground
22that they have ceased to have scrutinized active business operations.
AB124,13,2 23(9) Reporting. (a) Not later than 30 days after the initial creation of the list
24specified in sub. (2) (b), the board shall submit a report that includes this list to the

1chief clerk of each house of the legislature, for distribution to the legislature under
2s. 13.172 (2) and to the attorney general.
AB124,13,83 (b) The board shall submit a report annually, not later than the anniversary
4date of the report required under par. (a), to the chief clerk of each house of the
5legislature, for distribution to the legislature under s. 13.172 (2) and to the attorney
6general, with a copy provided to the United States Presidential Special Envoy to
7Sudan or an appropriate designee or successor of the Special Envoy, that includes all
8of the following:
AB124,13,109 1. A summary of correspondence with companies engaged by the board under
10sub. (3) (a).
AB124,13,1211 2. All investments sold, redeemed, divested, or withdrawn in compliance with
12sub. (4).
AB124,13,1313 3. All prohibited investments under sub. (5).
AB124,13,1414 4. Any progress made under sub. (7).
AB124,13,2215 (c) If the board ceases divestment or reinvests in Sudan in a manner authorized
16under sub. (8), the board shall submit a report to the chief clerk of each house of the
17legislature, for distribution to the legislature under s. 13.172 (2) and to the attorney
18general, prior to cessation of divestment or reinvestment, as applicable, setting forth
19the reasons and justification, supported by clear and convincing evidence, for the
20board's decision to cease divestment or to reinvest in companies with scrutinized
21active business operations. This report shall be updated semiannually thereafter,
22as applicable.
AB124,13,2423 (d) Notwithstanding s. 19.35, the board shall make any report required under
24this subsection available to the public.
AB124,14,2
1(10) Termination of requirements. The provisions of this section shall cease
2to apply upon the occurrence of any of the following:
AB124,14,43 (a) The U.S. congress or president of the United States declares that the Darfur
4genocide has been halted for at least 12 months.
AB124,14,65 (b) The United States revokes all sanctions imposed against the government
6of Sudan.
AB124,14,97 (c) The U.S. congress or president of the United States, through legislation or
8executive order, declares that mandatory divestment of the type provided for in this
9section interferes with the conduct of the foreign policy of the United States.
AB124,14,15 10(11) Other Legal Obligations. Notwithstanding s. 25.15 (2) and any other
11provision of this chapter, the board is exempt from any conflicting statutory or
12common law obligations, including any obligation in respect to choice of asset
13managers, investment funds, or investments for the board's securities portfolios, in
14taking any action in compliance with this section, including making any good faith
15determination regarding any company as required by this section.
