AB387-AA10,2,10 4"11.001 Declaration of policy. (1) The legislature finds and declares that our
5democratic system of government can be maintained only if the electorate is
6informed. It further finds that excessive spending on campaigns for public office
7jeopardizes the integrity of elections. It is desirable to encourage the broadest
8possible participation in financing campaigns by all citizens of the state, and to
9enable candidates to have an equal opportunity to present their programs to the
10voters. One of the most important sources of information to the voters is available
11through the campaign finance reporting system. Campaign reports provide
12information which aids the public in fully understanding the public positions taken
13by a candidate or political organization. When the true source of support or extent

1of support is not fully disclosed, or when a candidate becomes overly dependent upon
2large private contributors, the democratic process is subjected to a potential
3corrupting influence. The legislature therefore finds that the state has a compelling
4interest in designing a system for fully disclosing contributions and disbursements
5made on behalf of every candidate for public office, and in placing reasonable
6limitations on such activities. Such a system must make readily available to the
7voters complete information as to who is supporting or opposing which candidate or
8cause and to what extent, whether directly or indirectly. This chapter is intended to
9serve the public purpose of stimulating vigorous campaigns on a fair and equal basis
10and to provide for a better informed electorate.

12precluding officeholders from utilizing the perquisites of office at public expense in
13order to gain an advantage over nonincumbent candidates who have no perquisites
14available to them.

16protect the integrity of the elective process and to assure the maintenance of free

In this section, "disbursement" has the meaning given in s. 11.0101 (10).
AB387-AA10,5,23 19(2) (a) For each corporate fiscal year, before making any disbursement, a
20corporation shall give written notice to its shareholders of its intent to make one or
21more disbursements during that fiscal year. The corporation is required to give only
22one notice under this paragraph for each corporate fiscal year, which notice may
23coincide with notice of the corporation's annual shareholders' meeting.

1(b) For purposes of par. (a), a corporation may establish a record date for
2determining the shareholders entitled to notice under par. (a).
AB387-AA10,6,73 (c) The notice under par. (a) shall be dated and shall include a form that the
4shareholder may complete and return to the corporation to express objection to any
5disbursement during the applicable fiscal year. This form shall clearly identify the
6applicable address for returning the form by U.S. mail and any other acceptable
7method for return of the form.
AB387-AA10,6,11 8(3) Any shareholder receiving notice under sub. (2) may object to the
9corporation's making of disbursements during the applicable fiscal year by
10completing the form specified in sub. (2) (c) and returning it to the corporation within
1130 days after the date stated on the notice.
AB387-AA10,6,14 12(4) (a) Not later than 3 months after the end of each corporate fiscal year, a
13corporation shall calculate the total value of its expenditures for disbursements
14made during that fiscal year.
AB387-AA10,6,1715 (b) If a corporation receives a timely objection from a shareholder under sub.
16(3), within 4 months after the end of the fiscal year for which the objection applies,
17the corporation shall do all of the following:
AB387-AA10,6,2518 1. Notwithstanding s. 180.0640, make payment to the objecting shareholder of
19an amount determined by multiplying the total value of corporate expenditures for
20disbursements calculated under par. (a) by the objecting shareholder's percentage of
21ownership in the corporation. For purposes of this subdivision, the objecting
22shareholder's percentage of ownership is determined according to the number of
23shares held by the objecting shareholder as of the record date under sub. (2) (b) or,
24if there is none, as of the date of the notice under sub. (2) (a), divided by the total
25number of issued and outstanding shares of the corporation.

In this section:
AB387-AA10,7,87 (a) "Disbursement" has the meaning given in s. 11.01 (7) but is limited to
8political activity or political purposes related to this state.
AB387-AA10,7,109 (b) "Foreign corporation" means a foreign corporation authorized to transact
10business in this state.
AB387-AA10,7,1211 (c) "Shareholder" means a foreign corporation's shareholder that is a resident
12of this state.
AB387-AA10,7,18 13(2) (a) For each corporate fiscal year, before making any disbursement, a
14foreign corporation shall give written notice to its shareholders of its intent to make
15one or more disbursements during that fiscal year. The foreign corporation is
16required to give only one notice under this paragraph for each corporate fiscal year,
17which notice may coincide with notice of the foreign corporation's annual
18shareholders' meeting.
AB387-AA10,7,2019 (b) For purposes of par. (a), a foreign corporation may establish a record date
20for determining the shareholders entitled to notice under par. (a).
