AB480,11,21 20401.202 Notice; knowledge. (1) Subject to sub. (6), a person has "notice" of
21a fact if the person satisfies any of the following:

AB480,11,2323 (b) Has received a notice or notification of it.
AB480,11,2524 (c) From all the facts and circumstances known to the person at the time in
25question, has reason to know that it exists.

12out by that person as the place for receipt of such communications.
AB480,12,23 13(6) Notice, knowledge, or a notice or notification received by an organization
14is effective for a particular transaction from the time it is brought to the attention
15of the individual conducting that transaction and, in any event, from the time it
16would have been brought to the individual's attention if the organization had
17exercised due diligence. An organization exercises due diligence if it maintains
18reasonable routines for communicating significant information to the person
19conducting the transaction and there is reasonable compliance with the routines.
20Due diligence does not require an individual acting for the organization to
21communicate information unless the communication is part of the individual's
22regular duties or the individual has reason to know of the transaction and that the
23transaction would be materially affected by the information.

1401.203 Lease distinguished from security interest. (1) Whether a
2transaction in the form of a lease creates a lease or security interest is determined
3by the facts of each case.
AB480,13,7 4(2) A transaction in the form of a lease creates a security interest if the
5consideration that the lessee is to pay the lessor for the right to possession and use
6of the goods is an obligation for the term of the lease and is not subject to termination
7by the lessee, and if any of the following apply:
AB480,13,98 (a) The original term of the lease is equal to or greater than the remaining
9economic life of the goods.
AB480,13,1110 (b) The lessee is bound to renew the lease for the remaining economic life of the
11goods or is bound to become the owner of the goods.
AB480,13,1412 (c) The lessee has an option to renew the lease for the remaining economic life
13of the goods for no additional consideration or for nominal additional consideration
14upon compliance with the lease agreement.
AB480,13,1715 (d) The lessee has an option to become the owner of the goods for no additional
16consideration or for nominal additional consideration upon compliance with the
17lease agreement.
AB480,13,19 18(3) A transaction in the form of a lease does not create a security interest merely
19because of any of the following:
AB480,13,2220 (a) The present value of the consideration the lessee is obligated to pay the
21lessor for the right to possession and use of the goods is substantially equal to or is
22greater than the fair market value of the goods at the time the lease is entered into.
AB480,13,2323 (b) The lessee assumes risk of loss of the goods.
AB480,13,2524 (c) The lessee agrees to pay taxes, insurance, filing, recording, or registration
25fees, or service or maintenance costs with respect to the goods.

1(d) The lessee has an option to renew the lease or to become the owner of the
2goods.
AB480,14,53 (e) The lessee has an option to renew the lease for a fixed rent that is equal to
4or greater than the reasonably predictable fair market rent for the use of the goods
5for the term of the renewal at the time the option is to be performed.
AB480,14,86 (f) The lessee has an option to become the owner of the goods for a fixed price
7that is equal to or greater than the reasonably predictable fair market value of the
8goods at the time the option is to be performed.
AB480,14,11 9(4) Additional consideration is nominal if it is less than the lessee's reasonably
10predictable cost of performing under the lease agreement if the option is not
11exercised. Additional consideration is not nominal if any of the following apply:
AB480,14,1412 (a) When the option to renew the lease is granted to the lessee, the rent is stated
13to be the fair market rent for the use of the goods for the term of the renewal
14determined at the time the option is to be performed.
AB480,14,1715 (b) When the option to become the owner of the goods is granted to the lessee,
16the price is stated to be the fair market value of the goods determined at the time the
17option is to be performed.
AB480,14,21 18(5) The "remaining economic life of the goods" and "reasonably predictable" fair
19market rent, fair market value, or cost of performing under the lease agreement must
20be determined with reference to the facts and circumstances at the time the
21transaction is entered into.
AB480,14,24 22401.204 Value. Except as otherwise provided in chs. 403, 404, 405, and 406,
23a person gives value for rights if the person acquires them under any of the following
24circumstances:

1(1) In return for a binding commitment to extend credit or for the extension of
2immediately available credit, whether or not drawn upon and whether or not a
3charge-back is provided for in the event of difficulties in collection.

AB480,15,5 5(3) By accepting delivery under a preexisting contract for purchase.
AB480,15,6 6(4) In return for any consideration sufficient to support a simple contract.
AB480,15,9 7401.205 Reasonable time; seasonableness. (1) Whether a time for taking
8an action required by chs. 401 to 411 is reasonable depends on the nature, purpose,
9and circumstances of the action.
AB480,15,11 10(2) An action is taken seasonably if it is taken at or within the time agreed or,
11if no time is agreed, at or within a reasonable time.

14 GENERAL RULES
AB480,15,16 15401.301 Territorial applicability; parties' power to choose applicable
16law.
AB480,15,20 17(1) Except as otherwise provided in this section, when a transaction bears a
18reasonable relation to this state and to another state or nation the parties may agree
19that the law either of this state or of such other state or nation shall govern their
20rights and duties.
AB480,15,23 21(2) In the absence of an agreement under sub. (1), and except as provided in
22sub. (3), chs. 401 to 411 apply to transactions bearing an appropriate relation to this
23state.

AB480,16,14 12401.302 Variation by agreement. (1) Except as otherwise provided in sub.
13(2) or elsewhere in chs. 401 to 411, the effect of provisions of chs. 401 to 411 may be
14varied by agreement.
AB480,16,20 15(2) The obligations of good faith, diligence, reasonableness, and care prescribed
16by chs. 401 to 411 may not be disclaimed by agreement. The parties, by agreement,
17may determine the standards by which the performance of those obligations is to be
18measured if those standards are not manifestly unreasonable. Whenever chs. 401
19to 411 require any action to be taken within a reasonable time, any time which is not
20manifestly unreasonable may be fixed by agreement.
AB480,16,23 21(3) The presence in certain provisions of chs. 401 to 411 of the phrase "unless
22otherwise agreed," or words of similar import, does not imply that the effect of other
23provisions may not be varied by agreement under this section.

1401.303 Course of performance, course of dealing, and usage of trade.
2(1)
A "course of performance" is a sequence of conduct between the parties to a
3particular transaction that exists if any of the following apply:
AB480,17,54 (a) The agreement of the parties with respect to the transaction involves
5repeated occasions for performance by a party.
AB480,17,86 (b) The other party, with knowledge of the nature of the performance and
7opportunity for objection to it, accepts the performance or acquiesces in it without
8objection.
AB480,17,12 9(2) A "course of dealing" is a sequence of conduct concerning previous
10transactions between the parties to a particular transaction that is fairly to be
11regarded as establishing a common basis of understanding for interpreting their
12expressions and other conduct.
AB480,17,18 13(3) A "usage of trade" is any practice or method of dealing having such
14regularity of observance in a place, vocation, or trade as to justify an expectation that
15it will be observed with respect to the transaction in question. The existence and
16scope of such a usage are to be proved as facts. If it is established that such a usage
17is embodied in a trade code or similar record, the interpretation of the record is a
18question of law.
AB480,17,25 19(4) A course of performance or course of dealing between the parties or usage
20of trade in the vocation or trade in which they are engaged or of which they are or
21should be aware is relevant in ascertaining the meaning of the parties' agreement,
22may give particular meaning to specific terms of the agreement, and may
23supplement or qualify the terms of the agreement. A usage of trade applicable in the
24place in which part of the performance under the agreement is to occur may be so
25utilized as to that part of the performance.

1(5) Except as otherwise provided in sub. (6), the express terms of an agreement
2and any applicable course of performance, course of dealing, or usage of trade must
3be construed whenever reasonable as consistent with each other. If such a
4construction is unreasonable, all of the following apply:
AB480,18,65 (a) Express terms prevail over course of performance, course of dealing, and
6usage of trade.
AB480,18,77 (b) Course of performance prevails over course of dealing and usage of trade.
AB480,18,88 (c) Course of dealing prevails over usage of trade.
AB480,18,10 9(6) Subject to s. 402.209, a course of performance is relevant to show a waiver
10or modification of any term inconsistent with the course of performance.
AB480,18,13 11(7) Evidence of a relevant usage of trade offered by one party is not admissible
12unless that party has given the other party notice that the court finds sufficient to
13prevent unfair surprise to the other party.
AB480,18,15 14401.304 Obligation of good faith. Every contract or duty within chs. 401 to
15411 imposes an obligation of good faith in its performance and enforcement.
AB480,18,20 16401.305 Remedies to be liberally administered. (1) The remedies
17provided by chs. 401 to 411 must be liberally administered to the end that the
18aggrieved party may be put in as good a position as if the other party had fully
19performed but neither consequential or special damages nor penal damages may be
20had except as specifically provided in chs. 401 to 411 or by other rule of law.
AB480,18,22 21(2) Any right or obligation declared by chs. 401 to 411 is enforceable by action
22unless the provision declaring it specifies a different and limited effect.
AB480,18,25 23401.306 Waiver or renunciation of claim or right after breach. A claim
24or right arising out of an alleged breach may be discharged in whole or in part without
25consideration by agreement of the aggrieved party in an authenticated record.

1401.307 Prima facie evidence by 3rd-party documents. A document in
2due form purporting to be a bill of lading, policy or certificate of insurance, official
3weigher's or inspector's certificate, consular invoice, or any other document
4authorized or required by the contract to be issued by a 3rd party shall be prima facie
5evidence of its own authenticity and genuineness and of the facts stated in the
6document by the 3rd party.
AB480,19,11 7401.308 Performance or acceptance under reservation of rights. (1)
8A party that with explicit reservation of rights performs or promises performance or
9assents to performance in a manner demanded or offered by the other party does not
10thereby prejudice the rights reserved. Such words as "without prejudice," "under
11protest," or the like are sufficient.
AB480,19,12 12(2) Subsection (1) does not apply to an accord and satisfaction.
AB480,19,19 13401.309 Option to accelerate at will. A term providing that one party or
14that party's successor in interest may accelerate payment or performance or require
15collateral or additional collateral "at will" or when the party "deems itself insecure,"
16or words of similar import, means that the party has power to do so only if that party
17in good faith believes that the prospect of payment or performance is impaired. The
18burden of establishing lack of good faith is on the party against which the power has
19been exercised.
AB480,19,25 20401.310 Subordinated obligations. An obligation may be issued as
21subordinated to performance of another obligation of the person obligated, or a
22creditor may subordinate its right to performance of an obligation by agreement with
23either the person obligated or another creditor of the person obligated.
24Subordination does not create a security interest as against either the common
25debtor or a subordinated creditor.
